Company Changes
The Australian Securities and Investments Commission (ASIC) must be notified whenever there is a change to company officers or their addresses as well as any change to the registered office or business address of a company.
We have enclosed the appropriate form(s) and associated documentation to advise ASIC about the recent change(s) to your company details. Please arrange for these forms to be signed where indicated by the nominated company officer and return them to our office as soon as possible for lodgment with ASIC within the allowed time.
Importantly, ASIC must be notified of any changes to company details within 28 days of the change, otherwise late fees will apply.
We have also enclosed an invoice for our fees in attending to this matter on your behalf. If there is anything you would like to discuss, please contact our office.
Voluntary Deregistration of Your Company
In response to your recent request, we have prepared all documentation needed to formally deregister your company and we acknowledge your advice that the company has satisfied all of the following important conditions of voluntary deregistration.
- All members agree to deregister.
- The company is not conducting business.
- The company’s assets are worth less than $1,000.
- The company has no outstanding liabilities (e.g. debts, employee entitlements).
- The company is not involved in any legal proceedings.
- The company has paid all fees and penalties under the Corporations Act.
- The company is not a party to an ongoing legal matter.
The following forms have been attached for signature –
- A members’ consent form to be signed by all members.
- A director(s) resolution to make an application to deregister the company.
- The application form itself (form 6010).
- Applications for lodgment with the Australian Taxation Office (ATO) to cancel your ABN and other registrations where applicable.
- delete this paragraph if not applicable A Deed of Release, signed by both parties as a deed (including witness signatures), by which the company loan from director(s)/shareholder(s) name(s) will be formally “forgiven” by that lender.
On receipt of form 6010, ASIC will review the application, publish a notice of intention to deregister the company on their published notices website and if there are no objections, the company will be deregistered after 2 months. You will receive confirmation of deregistration on completion.
We have enclosed an invoice for our fee in assisting you with the deregistration process. The current ASIC lodgement fee for form 6010 has been included with our invoice as a disbursement.
